Terms & Conditions

1.1. Video Assets: Service Provider agrees to produce Video or Static assets (Creative) based on the specific package purchased by the Client. Each "Video Asset" includes scripting, filming, and editing of one (1) direct response video ad.

1.2. Static Assets: A one-time purchase of a specific number of static image assets with no ongoing distribution or partnership privileges unless explicitly stated otherwise.

1.3. Inner Circle (Partnership): If purchased and accepted, this recurring service grants the Client access to run ads in Partnership with the Service Provider's "Thought Bistro" handle/page. This is a privilege, not a right, and is subject to the platform's (Meta/Google) policies.

1.4. Inner Circle Perks: Any additional perks associated with the Inner Circle (such as discounts, bonuses, or exclusive access) are only available if the subscription is active at the time of billing of said perk. Perks are not available, retrievable, or valid if the subscription has expired or is inactive.

1.5. Exclusions: Unless explicitly stated in a custom invoice, services do NOT include: Media Buying management, ad spend funding, website development, or guarantee of sales/ROAS.

1.6. Partnership Discretion: Service Provider retains the right to deny partnership access to companies deemed unsuitable for collaboration.

1.7. Rev in a Box Legacy: All existing or past "Rev in a Box" orders are to be treated as "Video Assets" under this Agreement.

2.1. Pre-Initiation (24h Window): Clients are entitled to a 100% refund if a cancellation request is submitted in writing within 24 hours of payment, provided no work (including onboarding or scripting) has commenced.

2.2. Post-Initiation (Kill Fee): Once the project has started (defined as the commencement of the "Scripting Phase"), no refunds will be issued for the initial deposit/payment. If a project is cancelled midway by the Client, Thought Bistro reserves the right to charge a Kill Fee equivalent to the billable hours worked or 50% of the remaining project value, whichever is higher.

2.3. Non-Refundable Items: Services involving live marketing campaigns, third-party media spend (ads), or customized content where the creative direction was previously approved are strictly non-refundable.

2.4. Payment Structure: All fees for "Video/Static Assets" are 100% upfront unless otherwise agreed. Production will not commence until full payment is received. Fees are exclusive of GST (18%).

2.5. Cancellation Procedure: To request a cancellation, you must email info@thethoughtbistro.com strictly from the registered email address on file.

3.1. Shared Ownership & License: Upon full payment, the Service Provider grants the Client a perpetual, worldwide, non-exclusive license to use the final exported video/image files for digital advertising. Both parties retain shared ownership rights to the final output.

3.2. Likeness & Alterations: Client acknowledges that the assets may feature the Service Provider's founders/team. Client receives NO right to alter, edit, deep-fake, or manipulate these specific assets (especially faces/voices) without express written approval. They must be run as delivered.

3.3. Service Provider Rights: Service Provider retains ownership of: (a) Raw camera footage (unless purchased separately), (b) Project files, (c) Generalized knowledge, frameworks, and templates used to create the work.

3.4. Portfolio Use: Service Provider reserves the right to display the final work in its portfolio and marketing materials.

4.1. Method: Thought Bistro LLP is a digital agency. We do not ship physical products (excepting return of samples). All final assets (Videos, Scripts, Campaigns) will be delivered electronically via Email, WhatsApp, or a shared Cloud Drive link.

4.2. Auto-Acceptance: All delivered assets are deemed accepted and approved if no specific feedback or revision request is received within 3 business days of delivery. Delays caused by lack of Client feedback do not constitute grounds for a refund.

6.1. Revisions: Each Video Asset includes two (2) rounds of edit revisions (e.g., text changes, music swap, pacing). Re-shoots are NOT included unless due to a technical error by the Service Provider.

6.2. Approval: If Client does not provide feedback within 3 days of asset delivery, the project will be deemed approved and closed.

7.1. Consumption & Usage: Client acknowledges and agrees that all product samples sent to the Service Provider are considered 'consumable materials' and may be opened, used, tested, or modified during the course of creating the Assets. Unless a return is pre-arranged under Clause 7.2, all samples are deemed consumed and/or disposed of upon completion of the project.

7.2. Return Policy (Non-Perishable Only): Strict compliance required. Returns are ONLY possible if the Client informs the Service Provider before sending the samples that they require them back. If such notice is provided, the Client must arrange for reverse pickup (at their own cost) within 48 hours of the final delivery of the Video/Static Assets. If pickup is not arranged within this timeframe, the items shall be immediately deemed abandoned and considered disposed of (e.g., donated or discarded) at the Service Provider's sole discretion.

7.3. Perishable Goods: Strictly no returns shall be entertained for perishable goods (including but not limited to food, beverages, and organic cosmetics), which shall be considered disposed of immediately after production for hygiene and safety reasons.

7.4. Liability: Service Provider is not liable for any damage, loss, or consumption of samples that occurs during the shipping, handling, or production process.

8.1. Immediate Termination: Service Provider reserves the right to terminate agreements immediately without refund if the Client: (a) Is abusive or threatening to staff; (b) Requests unethical or illegal work; (c) Fails to settle invoices within 3 days of the due date.

8.2. Right to Discontinue (Scope Creep): We reserve the right to discontinue any ongoing project or service at any time if the Client’s demands exceed the original scope of agreement ("Scope Creep"), or due to changes in agency capacity/strategy. In such events, billing will be pro-rated for work completed.

8.3. No Obligation Without Billing: We are under no obligation to fulfill services for future periods that have not yet been invoiced or paid.

8.4. Communication Failure (Ghosting): If a Client fails to respond to communication or provide necessary assets for a period of 14 consecutive days, the project will be marked as "Dormant" (reactivation fees may apply). If dormancy continues beyond 30 days, the project is considered cancelled by the Client with no refund.
